Terms & Conditions

1. Definitions

• Participant — any individual who registers for an account on the Websites, whether as a student or as an educator.
• Educator — a Participant who creates and administers one or more Classes, including teachers, professors, club organizers and contest administrators.
• Class — a participation group created by an Educator, with its own rules, starting virtual capital, roster and leaderboard.
• Simulation — the virtual portfolio, order entry, ranking and analytics functionality made available through the Websites.
• Content — all text, graphics, market data, analytics, software and other material made available through the Websites.

2. Eligibility and Registration

You must be at least 13 years of age to register for an account. If you are under 18, you may register only with the consent of a parent, guardian, or the school or institution administering your Class. The Websites are not directed to children under 13 and we do not knowingly permit them to register.

You agree to provide accurate and complete registration information and to keep it current. Each account is personal to one Participant. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us at privacy@mocktrade.io if you believe your account has been accessed without your authorization.

3. Simulated Trading — No Real Money and No Advice

Orders you place on the Websites are simulated. They are not routed to any exchange, broker-dealer, market maker or clearing firm, and they create no beneficial interest in any security. Virtual cash and virtual positions have no monetary value, cannot be withdrawn, redeemed, transferred or exchanged for anything of value, and are not protected by SIPC, FDIC or any comparable scheme.

Simulated execution does not replicate real market conditions. The Simulation does not model slippage, partial fills, liquidity constraints, borrow availability, market impact, taxes, or the full range of fees and interest charges you would incur in a real account. Simulated performance is not indicative of, and should not be relied upon as a predictor of, results in a real account.

Sapio Analytics is not a broker-dealer, an investment adviser, or a registered representative of any of these. No Content on the Websites constitutes a recommendation, solicitation or offer to buy or sell any security, or personalized investment advice. Decisions you make in your real financial life are your own responsibility, and you should consult a licensed professional.

4. Market Data and Third-Party Content

Market data, quotes, charts, fundamentals and news displayed on the Websites are obtained from third-party providers, including Yahoo Finance, Polygon.io and Alpha Vantage. This data may be delayed, incomplete, interrupted or inaccurate, and is provided “as is” for educational use only. Neither Sapio Analytics nor its data providers warrants the accuracy, timeliness or completeness of any market data, and none of them is liable for any loss arising from your reliance on it.

You may not redistribute, resell, republish or commercially exploit market data obtained through the Websites. Exports of your own portfolio, trade history and performance metrics are provided for your personal and classroom use.

5. Classes, Educators and Leaderboards

An Educator who creates a Class sets its rules, including starting virtual capital, commission per trade, permitted asset classes, and whether short selling, margin, day trading or fractional shares are allowed. By joining a Class with an invite code, you agree to that Class’s rules and you acknowledge that the Educator can view your name, email address, simulated trading activity, virtual portfolio details, performance metrics and ranking, and can export a roster containing that information.

Your name and ranking appear on the leaderboard of any Class you join and are visible to other members of that Class. MockTrade may publicize the names of winners of public contests as described in the Privacy Policy.

Educators are responsible for obtaining any consent required by their school, district or institution before inviting Participants, and for handling Participant information they access through the Websites in accordance with applicable law and their own institution’s policies.

6. Subscriptions, Billing and Cancellation

Some features are available only on a paid plan. Paid plans are billed in advance through Stripe, Inc. on a recurring basis at the interval shown at checkout, and renew automatically until cancelled. By subscribing you authorize us and Stripe to charge your payment method for each renewal at the then-current price.

You may cancel at any time from the billing section of your account. Cancellation takes effect at the end of the current billing period; your plan remains active until then. Except where required by law, fees already paid are non-refundable and we do not provide partial-period refunds.

We may change subscription pricing on notice to you. A price change takes effect at your next renewal, and you may cancel before that renewal if you do not accept it. If a payment fails, we may suspend or downgrade access to paid features until payment succeeds.

7. Acceptable Use

You agree not to:

• create more than one account for yourself, or register on behalf of another person without authorization;
• share, sell or transfer your account or your access credentials;
• manipulate a leaderboard or contest result, including by exploiting pricing, execution or scoring defects rather than reporting them;
• use bots, scrapers, crawlers or other automated means to access the Websites or to extract market data or Content;
• probe, scan, overload or attempt to gain unauthorized access to the Websites, other accounts, or our infrastructure;
• reverse engineer, decompile or attempt to derive the source code of the Websites, except to the extent this restriction is unenforceable by law;
• upload or transmit malware, or any unlawful, infringing, harassing or abusive material; or
• use the Websites in violation of any applicable law, exchange rule, or market data licence.

8. Intellectual Property

The Websites, including their software, design, analytics methodology, text and graphics, are owned by Sapio Analytics or its licensors and are protected by copyright, trademark and other laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Websites for your own educational purposes. All rights not expressly granted are reserved. The MockTrade and Sapio Analytics names and logos may not be used without our prior written permission.

Content you submit through the Websites remains yours. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce and display that content solely to operate and improve the Websites.

9. Suspension and Termination

You may stop using the Websites and request deletion of your account at any time by contacting privacy@mocktrade.io. We may suspend or terminate your account, with or without notice, if you breach these Terms, if we are required to do so by law, or if your use creates risk or legal exposure for us or for other Participants. On termination, your licence to use the Websites ends immediately and your virtual portfolio, rankings and Class enrollments may be removed. Sections 3, 4, 8, and 10 through 14 survive termination.

10. Availability and Changes to the Service

We do not guarantee that the Websites will be available without interruption or error. We may modify, suspend or discontinue any part of the Websites, including any feature, Class rule, asset class or plan, at any time. Where a change materially reduces a paid feature you are currently paying for, we will endeavour to give you advance notice.

11. Disclaimer of Warranties

THE WEBSITES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE WEBSITES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY MARKET DATA, CALCULATION OR PERFORMANCE METRIC IS ACCURATE OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAPIO ANALYTICS AND ITS OFFICERS, EMPLOYEES, SUPPLIERS AND DATA PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify and hold harmless Sapio Analytics and its officers, employees and suppliers from any claim, demand, loss or expense, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Websites, or your violation of any law or of the rights of a third party.

14. Governing Law and Disputes

The Websites are offered to and intended for users located in North America. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws rules.

You and Sapio Analytics agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing in this section deprives a consumer of the protection of mandatory provisions of the law of their province, state or country of residence.

15. Changes to These Terms

We may modify these Terms from time to time. Changes are effective upon posting on the Websites. If a change materially affects your rights, we will endeavour to notify you in advance by email or an in-product notice. If you do not agree to a change, you may close your account; continued use of the Websites after a change takes effect means you accept the updated Terms.

16. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Sapio Analytics regarding the Websites. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
